Terms of Service

These Terms of Service govern access to and use of HempOS, including HempOS software, implementation services, managed compliance operations, document organization, COA records, audit packet tools, customer portals, payment workflows, and related services.

1. Agreement to These Terms

These Terms of Service (“Terms”) are a legally binding agreement between you, the customer or user accessing HempOS (“Customer,” “you,” or “your”), and JOINT VENTURE COLLECTIVE LLC, doing business through its Titan Tech product HempOS (“HempOS,” “we,” “us,” or “our”).

By creating an account, booking a planning call, paying an invoice, signing an order form, submitting documents, using the HempOS platform, or accessing any HempOS service, you agree to these Terms.

If you are using HempOS on behalf of a company, store, brand, facility, or other business entity, you represent that you have authority to bind that entity to these Terms.

2. What HempOS Is

HempOS is a compliance documentation and records platform for hemp-related businesses. HempOS helps customers organize products, COAs, labels, batches, supplier files, QR links, public COA pages, audit packets, backups, recall-related documentation, complaint records, and inspection-readiness workflows.

HempOS may include software access, implementation services, managed document organization, record review workflows, planning calls, cleanup projects, manufacturing support, and other business services described in an applicable order form, invoice, pricing page, proposal, or written agreement.

3. HempOS Does Not Provide Legal Advice

HempOS is not a law firm, does not provide legal advice, does not issue licenses, does not replace legal counsel, and does not guarantee regulatory outcomes.

You remain solely responsible for your own compliance obligations, including licensing, registration, testing, labeling, packaging, manufacturing, distribution, advertising, product claims, tax obligations, recordkeeping obligations, and any other legal or regulatory duties that apply to your business.

HempOS may help organize documents and workflows, but you are responsible for confirming that your documents, labels, COAs, products, business operations, and records satisfy applicable law.

4. Eligibility

HempOS is intended for business use. You must be at least 18 years old and legally able to enter into contracts. You may not use HempOS if you are prohibited from doing so under applicable law or if your use would cause HempOS to violate law, payment processor rules, or third-party service provider requirements.

5. Customer Responsibilities

You are responsible for:

  • Providing accurate business, product, supplier, batch, label, and COA information.
  • Uploading accurate, complete, and current documents.
  • Maintaining required licenses, registrations, permits, and authorizations.
  • Reviewing all records, labels, COAs, packets, links, and exports before relying on them.
  • Keeping your account login credentials secure.
  • Training your staff on proper use of HempOS where applicable.
  • Promptly correcting inaccurate, outdated, missing, or incomplete information.
  • Complying with all applicable laws, rules, regulations, and payment processor requirements.

HempOS is only as accurate as the information, documents, and instructions provided by the Customer. HempOS is not responsible for errors caused by inaccurate, incomplete, delayed, or misleading information supplied by the Customer or third parties.

6. Plans, Pricing, and Order Terms

HempOS plans, prices, setup fees, implementation fees, add-ons, cleanup projects, managed services, and manufacturing support may be listed on our pricing page, in an invoice, in an order form, or in a written proposal.

Current public plans may include Retail Inspection Core, Retail Managed Compliance, Multi-Location Retail OS, Brand Launch Backend, Manufacturing Platform, Manufacturing Managed Ops, Embedded Facility Agent, Compliance Cleanup, and Implementation Planning Calls.

The specific services included in your subscription are determined by the plan, invoice, proposal, order form, or written agreement you accept. HempOS may update plan names, features, fees, and service scope over time.

7. Setup and Implementation Fees

Setup fees and implementation fees cover onboarding, workspace setup, product structure, document organization, COA setup, public page configuration, backup structure, plan-specific workflows, and related implementation work.

Setup fees are separate from monthly subscription fees. Paying a setup fee does not include future monthly subscription access unless expressly stated in writing.

Setup fees are non-refundable once paid, except where required by law or expressly agreed in writing by HempOS.

8. Split Setup Payment Option

Where approved by HempOS, Customers may split setup or implementation fees into two payments:

  • 50% of the setup fee is due upfront before onboarding begins.
  • The remaining 50% is due at the end of the month.
  • The remaining balance may be paid anytime before the next subscription renewal.
  • If the remaining balance is not paid before renewal, HempOS may issue a Square invoice due within 14 days.

The split setup payment option applies only to setup and implementation fees unless HempOS expressly states otherwise in writing. Monthly subscription fees are not split-pay by default.

Splitting a setup payment does not discount the setup fee, monthly subscription fee, or any future fees.

9. Monthly Subscription Billing

HempOS subscriptions are billed monthly unless otherwise stated in an order form, invoice, or written agreement. Monthly subscription fees are due in advance for the upcoming service period.

Subscription billing may be processed through Square invoices, Square checkout, card-on-file, ACH, or another approved payment method.

By starting a paid subscription, you authorize HempOS and its payment processor to charge the applicable recurring subscription fees, setup fees, add-on fees, taxes, and approved service charges.

You are responsible for keeping your payment method current and ensuring invoices are paid on time.

10. No Refund Policy

All fees paid to HempOS are non-refundable except where required by law or expressly agreed in writing by HempOS.

This includes, without limitation:

  • Setup fees
  • Implementation fees
  • Planning call fees
  • Monthly subscription fees
  • Cleanup project fees
  • Managed service fees
  • Manufacturing support fees
  • Embedded agent fees
  • Add-on service fees
  • Reactivation or reinstatement fees

HempOS does not provide refunds for unused time, partial months, unused features, failure to upload documents, failure to use the service, customer business closure, customer licensing issues, change of business direction, customer staffing issues, cancellation, account suspension, or termination caused by non-payment or breach of these Terms.

Chargebacks, payment reversals, and payment disputes do not cancel your obligation to pay amounts owed. HempOS may suspend or terminate service if a chargeback, failed payment, or payment dispute occurs.

11. Cancellation

HempOS subscriptions are cancelable at any time. To cancel, you must use the cancellation method provided in your account, invoice, order form, customer portal, or written cancellation instructions. You may also request cancellation by contacting HempOS at: [email protected].

Cancellation stops future monthly subscription renewals after the current paid service period. Cancellation does not create a refund, credit, or reduction of fees already paid or already due.

If you cancel after a subscription period has started, your subscription remains paid through the end of the current period unless HempOS terminates access earlier due to breach, non-payment, security risk, legal risk, or operational risk.

You are responsible for exporting any records, files, backups, or reports you need before the end of your access period.

12. Reactivation After Cancellation

You may request to resume HempOS after cancellation, suspension, non-payment, or account closure. Reactivation is not automatic and is subject to HempOS approval.

If you resume service after cancellation, you may be required to pay:

  • A new setup fee at the then-current rate;
  • A reactivation or reinstatement fee;
  • Any unpaid balance from the prior account;
  • Any document recovery, migration, or reconstruction fees;
  • The current monthly subscription fee for the selected plan; and
  • Any applicable taxes, payment processing charges, or add-on fees.

HempOS may require a new setup fee because canceled or inactive accounts may require document review, workspace rebuilding, link verification, backup restoration, product revalidation, updated COAs, staff re-onboarding, or workflow reconstruction.

Prior pricing is not guaranteed after cancellation. If you return later, current pricing and current plan terms apply unless HempOS agrees otherwise in writing.

13. Past-Due Payments and Suspension

HempOS may suspend onboarding, implementation, platform access, managed services, support, public pages, exports, backup access, or other services if payments are past due, disputed, reversed, failed, or incomplete.

Suspension does not cancel amounts owed. HempOS may continue to seek payment for unpaid fees, invoices, taxes, chargeback costs, collection costs, and other amounts allowed by law.

HempOS may delete, archive, restrict, or deactivate accounts that remain unpaid or inactive, subject to our data retention practices and any written agreement with the Customer.

14. Planning Calls

Implementation Planning Calls are paid business consultations used to review your operation, products, COAs, locations, suppliers, labels, documents, and implementation fit.

Planning Call fees are non-refundable except where required by law or expressly agreed in writing by HempOS.

If HempOS states that the planning fee may be credited toward implementation, the credit only applies if you start an approved HempOS plan within the stated credit window and satisfy all payment requirements.

15. Compliance Cleanup Projects

Compliance Cleanup projects are one-time engagements for organizing messy, missing, broken, outdated, or inspection-risk documentation.

Cleanup projects may include COA organization, QR link review, product record cleanup, supplier file organization, expired document flagging, audit packet preparation, and related documentation work.

Cleanup fees are non-refundable once paid, except where required by law or expressly agreed in writing. Emergency cleanup, inspection-risk cleanup, and heavy cleanup projects may require custom pricing and upfront payment.

HempOS does not guarantee that cleanup work will cure past noncompliance, prevent enforcement, prevent failed inspections, or satisfy any specific regulator, buyer, insurer, landlord, bank, or business partner.

16. Managed Services and Embedded Support

Some HempOS plans may include managed record review, document organization, readiness reviews, manufacturing support, operational support, or embedded facility support.

Managed services are limited to the scope stated in the applicable plan, invoice, proposal, or written agreement. Unless expressly stated in writing, managed services do not include legal advice, legal representation, regulatory defense, accounting, tax advice, laboratory testing, insurance advice, licensing services, or guaranteed compliance outcomes.

Embedded Facility Agent services are application-only and may be subject to facility access, travel, security, insurance, scheduling, staffing, safety, and operational requirements.

17. Customer Data and Documents

You retain ownership of the business documents, COAs, labels, product records, supplier files, batch records, and other materials you provide to HempOS (“Customer Data”).

You grant HempOS the right to host, process, organize, display, transmit, back up, transform, and use Customer Data as necessary to provide the services, operate the platform, support your account, create exports, generate public pages, and perform work requested by you.

You represent that you have the right to upload, share, store, and process all Customer Data submitted to HempOS.

18. Public COA Pages and Shared Links

HempOS may create public COA pages, QR verification links, shared audit packets, downloadable documents, or other public or semi-public access points based on your settings and plan.

You are responsible for reviewing all public pages, QR links, shared links, documents, claims, product names, images, labels, and COA information before using them on packaging, websites, menus, invoices, sales materials, or customer-facing materials.

HempOS is not responsible for customer misuse of shared links, incorrect QR placement, outdated links printed on labels, inaccurate product claims, or information made public by Customer settings or Customer instructions.

19. Backups, Exports, and Data Retention

HempOS may provide cloud backups, downloadable local backups, exports, reports, audit packets, or document downloads depending on your plan.

You are responsible for downloading and maintaining your own backups where required by your business, contracts, regulators, insurers, or legal obligations.

HempOS does not guarantee indefinite storage of canceled, inactive, unpaid, suspended, or terminated accounts. After cancellation or termination, HempOS may retain, archive, or delete Customer Data according to its internal retention practices, legal obligations, operational needs, and any written agreement with the Customer.

20. Account Access and Security

You are responsible for all activity under your account. You must keep login credentials secure and restrict access to authorized personnel only.

HempOS may suspend or restrict access if we believe an account presents a security risk, payment risk, legal risk, operational risk, or risk to other customers.

You must notify HempOS immediately if you believe your account, login credentials, documents, shared links, or public pages have been compromised.

21. Acceptable Use

You may not use HempOS to:

  • Violate any law, regulation, court order, or third-party right.
  • Upload false, fraudulent, misleading, forged, or unauthorized documents.
  • Misrepresent product compliance, testing, licensing, ownership, source, or batch history.
  • Sell, promote, or support illegal products or illegal activity.
  • Attempt to bypass payment processor rules or compliance requirements.
  • Interfere with HempOS systems, security, servers, or other customers.
  • Reverse engineer, scrape, copy, attack, overload, or misuse the platform.
  • Upload malware, harmful code, or content that violates the rights of others.
  • Use HempOS to make unlawful health, medical, drug, or disease claims.

22. Hemp, CBD, Cannabis, and Payment Processor Rules

HempOS serves hemp-related businesses but does not guarantee that your products, business, website, labels, claims, payment flows, or operations are accepted by banks, payment processors, marketplaces, platforms, insurers, landlords, regulators, or business partners.

You are responsible for complying with all applicable hemp, CBD, cannabis, controlled substance, advertising, labeling, testing, payment processing, and consumer protection rules.

HempOS may refuse, suspend, or terminate service if your business, documents, products, claims, payment activity, or use of HempOS creates legal, regulatory, payment processor, platform, reputational, or operational risk.

23. Third-Party Services

HempOS may integrate with or rely on third-party services such as Square, email providers, hosting providers, analytics tools, storage providers, automation platforms, domain providers, communications tools, and other vendors.

HempOS is not responsible for outages, delays, payment holds, account reviews, declined transactions, processor restrictions, email failures, hosting issues, API changes, or service interruptions caused by third-party providers.

Your use of third-party services may be subject to separate terms, fees, policies, and restrictions imposed by those providers.

24. No Guarantee of Results

HempOS does not guarantee that you will pass inspections, avoid enforcement, obtain licenses, keep licenses, satisfy buyers, satisfy retailers, satisfy auditors, satisfy insurers, prevent recalls, prevent complaints, prevent chargebacks, prevent payment processor action, or avoid business losses.

HempOS helps organize compliance documentation and operational records. Your results depend on your products, documents, business practices, suppliers, staff, regulators, legal counsel, and your own compliance decisions.

25. Intellectual Property

HempOS, including its software, workflows, designs, templates, page layouts, interfaces, branding, documentation, training materials, automation logic, and system structure, is owned by JOINT VENTURE COLLECTIVE LLC or its licensors.

These Terms do not transfer ownership of HempOS intellectual property to you. You receive only the limited right to use HempOS during an active, paid, authorized subscription or service period.

You may not copy, resell, sublicense, reverse engineer, clone, reproduce, or create competing services from HempOS materials, workflows, software, or documentation without written permission.

26. Feedback

If you provide feedback, suggestions, ideas, feature requests, corrections, or recommendations, you grant HempOS the right to use them without restriction, payment, or obligation to you.

27. Confidentiality

Each party may receive confidential business, technical, financial, operational, or customer information from the other party. Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to HempOS services.

Confidentiality obligations do not apply to information that is public, independently developed, lawfully received from another source, or required to be disclosed by law, subpoena, court order, regulator, or payment processor.

28. Privacy

HempOS handles personal information and business information according to its Privacy Policy, if published, and applicable law. By using HempOS, you authorize HempOS to process information as necessary to provide the services.

You are responsible for ensuring that any personal information you submit to HempOS is collected and shared lawfully.

29. Service Availability and Changes

HempOS may update, modify, suspend, discontinue, replace, or remove features, pages, tools, integrations, workflows, plans, or services at any time.

HempOS will make reasonable efforts to maintain service availability but does not guarantee uninterrupted, error-free, or permanent access.

30. Disclaimers

HempOS is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, HempOS disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and regulatory suitability.

31. Limitation of Liability

To the maximum extent permitted by law, HempOS and JOINT VENTURE COLLECTIVE LLC will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, including lost revenue, lost business, lost data, regulatory action, inspection outcomes, recall costs, payment processor action, licensing issues, or business interruption.

To the maximum extent permitted by law, HempOS's total liability for any claim related to the services will not exceed the amount you paid to HempOS for the specific service giving rise to the claim during the three months before the event giving rise to the claim.

32. Indemnification

You agree to defend, indemnify, and hold harmless HempOS, JOINT VENTURE COLLECTIVE LLC, its owners, contractors, employees, agents, vendors, affiliates, and representatives from claims, damages, losses, liabilities, costs, and expenses arising from:

  • Your products, labels, claims, COAs, suppliers, batches, or operations;
  • Your violation of law, regulation, or these Terms;
  • Your inaccurate, incomplete, fraudulent, or misleading documents or information;
  • Your misuse of HempOS;
  • Your failure to maintain required licenses, registrations, testing, or records;
  • Your payment disputes, chargebacks, or processor issues; and
  • Your infringement or violation of third-party rights.

33. Termination by HempOS

HempOS may suspend or terminate your account, services, onboarding, public pages, managed services, support, or access immediately if:

  • You fail to pay amounts owed;
  • You breach these Terms;
  • You provide false, incomplete, or misleading information;
  • Your use creates legal, regulatory, security, payment, or operational risk;
  • You misuse the platform or interfere with other users;
  • You engage in chargebacks, payment reversals, or abusive disputes;
  • Your business activities appear unlawful or unsupported by HempOS; or
  • HempOS is required or advised to do so by law, a regulator, a payment processor, or a platform provider.

Termination by HempOS does not require HempOS to refund any fees except where required by law.

34. Changes to These Terms

HempOS may update these Terms from time to time. Updated Terms may be posted on the HempOS website or provided by email, invoice, account notice, or other reasonable method.

Continued use of HempOS after updated Terms are posted or provided means you accept the updated Terms.

35. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.

36. Dispute Resolution

Before filing any legal action, you agree to contact HempOS and attempt to resolve the dispute informally. You must send written notice describing the dispute, the amount claimed, the facts supporting the claim, and the relief requested.

HempOS will have 30 days to respond or attempt resolution. This informal process does not prevent either party from seeking urgent injunctive relief where appropriate.

Unless otherwise required by law, any lawsuit or legal proceeding related to these Terms or HempOS must be brought in a court located in Texas.

37. Assignment

You may not assign or transfer your HempOS account, subscription, agreement, or rights under these Terms without HempOS's written consent. HempOS may assign or transfer these Terms as part of a merger, acquisition, sale, restructuring, financing, asset transfer, or business operation.

38. Severability

If any part of these Terms is found invalid or unenforceable, the remaining parts will remain in effect, and the invalid or unenforceable part will be interpreted as closely as possible to the original intent while remaining enforceable.

39. Entire Agreement

These Terms, together with any accepted order form, invoice, proposal, written agreement, Privacy Policy, and plan-specific terms, form the entire agreement between you and HempOS regarding the services.

If there is a conflict between these Terms and a signed written agreement, the signed written agreement controls for that specific customer relationship.
